Plenary Americas LP (“Plenary”), a leading long-term investor, developer and manager of public infrastructure, today announced that it has entered into an agreement to acquire Information Services Corporation (“ISC”), a leader in registry and information management services.

The proposed acquisition will bring together Plenary’s infrastructure investment and management expertise with ISC’s industry-leading registry operations, services and technology platform, positioning the combined organization for accelerated growth across Canada and the United States.

Strategic Partnership to Drive Growth

Plenary intends to leverage its extensive experience securing and delivering complex infrastructure and government service partnerships in support of ISC’s long-term strategy. With a track record spanning decades and a portfolio of large-scale essential infrastructure projects, Plenary will provide further access to capital, relationships and operational expertise to enhance ISC’s growth trajectory.

As part of the transaction, Plenary will partner with La Caisse (Caisse de dépôt et placement du Québec), a global institutional investor, to provide long-term capital and support ISC’s expansion, invest in innovation and pursue new opportunities across North America.

Under Plenary’s ownership, ISC is expected to serve as a strategic platform for expanding registry and regulatory-related services in existing and new jurisdictions while continuing to deliver market-leading performance in its core operations.

Commitment to Saskatchewan and ISC’s Legacy

Plenary has emphasized its commitment to maintaining ISC’s headquarters and key intellectual property in Saskatchewan, and to preserving ISC strong corporate identity, all while expanding the brand across Canada and other markets.  The Province of Saskatchewan, through its Crown Investments Corporation of Saskatchewan, will maintain a Golden Share in ISC with continued board representation.

The company intends to retain ISC’s existing management and employees and continue delivering high-quality services to the Government of Saskatchewan and other clients.  In addition, ISC’s management team will retain an equity interest in the new private company, ensuring continued alignment with the company’s long-term growth and performance.

Transaction Information

The transaction will proceed by way of court-approved Plan of Arrangement pursuant to Section 14-24 of the Saskatchewan Business Corporations Act, and is subject to customary closing conditions, including shareholder and regulatory approvals, with closing anticipated in the third quarter.
